By accessing or using the Nebula Cloud Studio platform ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation and that it agrees to these Terms. If you do not agree, do not use the Service.
Nebula Cloud Studio provides a governed engineering execution platform that processes natural language intent, compiles execution plans, runs domain-specific engineering engines, and returns verified artifacts. The Service is provided "as-is" during the Founding Cohort period and is subject to the access tier and credit limits of your plan.
You must be at least 18 years old and have the legal capacity to enter into a binding agreement in your jurisdiction. During the Founding Cohort period, access is by application only. We reserve the right to refuse or revoke access at our discretion.
You may use the Service for lawful engineering, research, education, and professional purposes. You may not:
Your inputs: You retain all rights to the prompts, files, and parameters you submit. Artifacts: Artifacts produced by the Service from your inputs are owned by you, subject to your plan tier (watermarked exports on Free tier). Our platform: All software, execution engines, APIs, documentation, and platform UI remain the exclusive property of Nebula Cloud Studio.
Credits are consumed per execution based on workflow complexity and compute usage. Estimated credit cost is shown before every execution. Credits refresh monthly on paid plans and do not roll over. Top-up credits are non-refundable once consumed. Enterprise plans are governed by a separate Order Form.
We process your data as described in our Privacy Policy. Your engineering inputs are treated as confidential and are not shared with third parties or used for model training. Enterprise customers may execute a mutual NDA prior to technical discovery calls.
We target 99.9% uptime for paid plans. During the Founding Cohort period, the Service is provided without a formal SLA. Enterprise customers may negotiate SLA terms in their Order Form. Scheduled maintenance will be communicated with at least 48 hours' notice where possible.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEBULA CLOUD STUDIO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATING TO THESE TERMS SHALL NOT EXCEED THE AMOUNTS PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM. Engineering outputs are decision-support tools; professional engineering judgment and independent verification remain the responsibility of the licensed engineer of record.
Either party may terminate access at any time. We may suspend or terminate your access immediately for material breach of these Terms. Upon termination, your right to use the Service ceases and any outstanding credits are forfeited. You may export your artifact history within 30 days of termination.
We may update these Terms at any time. Material changes will be communicated by email at least 14 days before taking effect. Continued use of the Service after the effective date constitutes acceptance.
